Coldwater acted as the exclusive M&A advisor to DFL Fabrication Limited o/a All Railings Ltd. (“All Railings”) on its sale to Rhyno Equity Group (“Rhyno”). Keyser Mason Ball LLP acted as sell-side legal advisor, and D&B Chartered Professional Accountants LLP as accounting and tax advisor.
Established in 1968, All Railings is an industry-leading fabricator specializing in miscellaneous metal and structural steel for the High-Rise Residential market. Over the past 50+ years, All Railings has developed a strong reputation within the industry, known for its hands-on approach and attention to detail. All Railings is a preferred, one-stop supplier and installer for essentially all of the custom metal fabricated components required for each of their awarded projects, while servicing several projects per year for each of its primary customers.
Rhyno, founded in 2012, is a growing Toronto-based private equity investment firm focused on acquiring and actively managing stable lower- to middle-market manufacturing companies. Rhyno seeks and acquires highly synergistic companies that provide high-value goods to the home improvement sector.
The transaction allowed All Railings’ second-generation owners to sell the business to a strategically aligned buyer that could further build upon their legacy. Coldwater successfully positioned All Railings in the market despite short-term sector headwinds, addressing concerns around condominium exposure while still highlighting the Company’s established customer relationships and diversified project base.
